Softmax Terms of Service

Welcome to Softmax. These Terms of Service (“Terms”) govern your access to and use of the Softmax platform, including our websites, applications, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using Softmax (“the Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference. If you do not agree, you must discontinue use of the Service immediately. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 16 years of age (or the minimum digital age of consent in your jurisdiction, whichever is higher) to use the Service. If you are under the required age, you may only use the Service with verifiable parental or guardian consent where permitted by applicable law.

3. Account Registration and Security

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information, keep your credentials confidential, notify us immediately of any unauthorized access, and accept responsibility for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Code Submissions, ML Weights, and Public Nature of Submissions

4.1 Public Submissions. The Service allows users to submit code, machine learning models, weights, biases, and related artifacts (“Submissions”). By making any Submission, you acknowledge and agree that all Submissions are treated as public. You must not submit any code, models, weights, or data that you consider confidential, proprietary, or trade secret. We do not guarantee the confidentiality of any Submission, and other users or third parties may be able to access, view, or interact with your Submissions through the normal operation of the Service.

4.2 License Grant and Retention. By making a Submission, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, store, modify, execute, display, and distribute your Submission for the purposes of operating the Service, including but not limited to running your code, hosting tournament competitions, training internal models, conducting benchmarking and research, and improving the Service. This license persists until you direct us to delete your Submission, at which point we will remove it within a commercially reasonable timeframe, except where retention is required by law or where the Submission has been incorporated into aggregated or anonymized datasets.

4.3 Your Representations. You represent and warrant that you have all rights necessary to make your Submission and grant the license above, your Submission does not infringe any third-party intellectual property, proprietary, or privacy rights, and your Submission does not contain malicious code intended to compromise the Service or its users.

5. Tournaments and Competitions

5.1 Tournament Rules. Participation in any tournament, competition, or ranked event operated through the Service (“Tournament”) is subject to the specific rules published for that Tournament (“Tournament Rules”), which are incorporated into these Terms by reference.

5.2 Sole Discretion on Rules. We have sole and absolute discretion in the interpretation, application, and enforcement of all Tournament Rules. Our decisions regarding rule interpretation, scoring, rankings, and outcomes are final and binding.

5.3 Disqualification. We reserve the right to disqualify any participant from any Tournament, revoke any results, rankings, or prizes, and suspend or ban participants from future Tournaments, if we determine, in our sole judgment, that a participant has violated the Tournament Rules, engaged in unsportsmanlike conduct, manipulated or attempted to manipulate results, or otherwise acted in a manner that undermines the integrity or fairness of the Tournament. We are not obligated to provide detailed justification for disqualification decisions, though we will endeavor to notify affected participants.

6. Privacy

Our collection, use, sharing, and protection of your personal data is governed by our Privacy Policy Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and understood the Privacy Policy. In the event of a conflict between these Terms and the Privacy Policy regarding the treatment of personal data, the Privacy Policy shall control.

7. User Content

You retain ownership of content you submit through the Service, subject to the license granted in Section 4.2 for Submissions. For non-Submission content, by submitting content you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process that content solely to the extent necessary to provide the Service. You are responsible for ensuring your content does not violate any third-party rights or applicable laws.

8. Deletion Requests

You may request deletion of your Submissions at any time by contacting us at [email protected]. Upon receiving a valid deletion request, we will remove the Submission as described in Section 4.2. Deletion of personal data is governed by our Privacy Policy.

9. Prohibited Uses

You agree not to use the Service to violate any applicable law or regulation, infringe intellectual property or privacy rights, transmit malicious code or attempt to compromise the Service’s security, harvest or scrape user data without authorization, circumvent or attempt to circumvent Tournament Rules or manipulate Tournament outcomes, reverse-engineer other users’ Submissions except as permitted by the Service’s intended functionality, or engage in any activity that interferes with other users’ enjoyment of the Service.

10. Third-Party Services

The Service may contain links to or integrations with third-party services. We are not responsible for their privacy practices or content. We encourage you to review their terms and policies independently.

11. Cookies and Tracking Technologies

We use cookies and similar tracking technologies to operate and improve the Service. Cookies are small data files stored on your device that help us recognize your browser, remember your preferences, and understand how you use the Service. We use strictly necessary cookies that are essential for the Service to function (such as session management and authentication), functional cookies that remember your preferences and settings, and analytics cookies that help us understand usage patterns and improve the Service. We do not use cookies for third-party advertising. You may manage or disable cookies through your browser settings, though disabling certain cookies may impair the functionality of the Service. Where required by applicable law, we will obtain your consent before placing non-essential cookies. We honor Do Not Track signals and Global Privacy Control where required by law. For users in the European Economic Area and United Kingdom, non-essential cookies are only placed after you provide affirmative consent through our cookie consent mechanism.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Without limiting the foregoing, we make no warranties regarding the security or confidentiality of Submissions, the outcome or fairness of any Tournament beyond our commitment to apply Tournament Rules consistently, or the availability, accuracy, or reliability of the Service.

13. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to any unauthorized access to or use of your Submissions. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be lawfully excluded.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your Submissions, your participation in Tournaments, or your violation of these Terms, except where prohibited by applicable law.

15. Modifications to Terms

We may update these Terms from time to time. We will provide notice of material changes via the Service or by email. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. Where required by law, we will obtain your affirmative consent before material changes take effect.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of California, USA. Any disputes shall be resolved through binding arbitration or in the courts of California, USA, except where your local law grants you the right to bring claims in your own jurisdiction. Nothing in this section overrides mandatory consumer protection laws applicable to you.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
